WNS closes Marketics Tech buy

Coimbatore May 15 WNS (Holdings) Ltd has closed its acquisition of Marketics Technologies (India) Pvt Ltd, an offshore analytics services company to enhance its capabilities.

The total consideration, WNS sources say, consists of a bulk payment of $30 million at closing and a contingent earn-out of up to a maximum of $35 million based on the results of operations of Marketics for the fiscal ending March 31, 2008.

The contingent earn-out consideration is to be computed at 15 times the net income for the fiscal 2008 excluding share-based compensation expense and other items. WNS has settled the first payment of $30 million from its existing cash and reserves.

Marketics has, over the last three years, established itself a leader in this segment by developing technology-enabled analytic services for the consumer-centric companies

"Marketics has doubled its revenue in each of the last three years," said Mr Neeraj Bhargava, WNS Group Chief Executive Officer.

WNS has through this acquisition gained nine clients in customer-centric industries such as retail, consumer packaged goods, beverages and consumer electronics.
