Mergers & Acquisitions Air India, Indian merger completed
Our Bureau New Delhi, Aug. 24 Air India and Indian ceased to be legal entities from Friday with the filing of the approval of the application for merger with the Registrar of Companies. “The two airlines were dissolved without being wound up with the completion of the e-filing and the physical filing of documents before the Department of Corporate Affairs. Henceforth both would function under the National Aviation Company of India Ltd (NACIL),” a senior airline official said. Before the filing could take place three board meetings of Air India, Indian and NACIL were held at the Ministry of Civil Aviation to facilitate the merger process. “The Board meetings were held to take on record resolutions for purposes of electronic filing of resolutions prior to the merger,” sources said. The Chairman and Managing Director Air India, Mr V. Thulasidas, would be the CMD of the new company, while the Chairman and Managing Director, Indian, Mr V. Trivedi would be the joint Managing Director. The merged airline would fly under Air India in India and abroad. The new airline would have a combined fleet of over 112 aircraft with 21 new aircraft including seven Boeing 777 and 10 Airbus A-320 aircraft being inducted this year itself. The merger would provide an opportunity to leverage strong assets, capabilities, infrastructure and manpower , a statement said. The merger would result in overall saving of more than Rs 800 crore annually. The merger would allow for seamless integration between domestic and international flights allowing passengers to check in for the international flights from any domestic air port. Air India would have six strategic units including one looking after the passenger airlines and others for cargo, low cost carrier, ground handling and maintenance, repair and overhaul facility (MRO). Its low cost arm Air India Express would continue to fly on domestic and international routes.
