The saving clause
FORCE MAJEURE clauses envisage eventualities beyond the control of contracting parties. Such clauses are of two types: open and close ended. Open-ended clauses specify the exact events that constitute force majeure. However, in an open-ended clause, the parties simply narrate what generally constitute force majeure situations and typically add the words ... and such other acts or events that are beyond the control of parties. The addition of these words changes the whole complexion of the clause. It cou ld encompass any supervening situation over which the contracting parties themselves do not have control and has to be interpreted with reference to facts and the actual occurrence of events, as the parties have not spelt out the same in clear language. In the absence of clear agreement to the contrary, the parties to a contract are excused from the performance of their respective obligations on occurrence of such extraordinary acts.

Auditing the auditor
THE former Chief Justice of India, Mr P. N. Bhagwati, mooted the idea of institutionalising the office of ombudsman to oversee the functioning of the judiciary as also to fix judicial accountability, but the suggestion has not been implemented so far. Ho wever, we now have in place not one but a couple of regimes to audit the auditor.

THE latest exposure draft (ED) from the ICAI is on a proposed AS on intangible assets. It is available as intanass.html and intanass1.html at www.icai.org. And it is tangibly long, running to 100 paras. To be fair, however, one should consider the net ef fect in terms of the number of total paras because once this ED becomes a mandatory standard, the earlier AS 8, on accounting for R&D, would stand withdrawn. Similarly, AS 6, on depreciation accounting, would be chopped so far as it deals with intangible assets, as also paras 16.3 to 16.7, 37 and 38 of AS 10, on accounting for fixed assets.

THE Madras High Court has refused to grant decree for `specific performance' of a contract in a case pertaining to sale of land. While setting aside the finding of the trial court holding that such a decree was ``unsustainable and erroneous'', a Divisio n Bench of the High Court directed payment of interest at 24 per cent on the advance amount for the period during which the amount was lying with the appellant.

The article projected the various benefits that may accrue due to the measures outlined in the Monetary and Credit Policy for 2001-02 by the Reserve Bank of India to all banks in the c ountry. This measure will release Rs 8,000 crore for public lending and simultaneously ensure a gain of Rs 1,000 crore in their earnings, brightening the prospects of public borrowers getting loans more easily and at lower PLRs.

IN THE NORMAL course, the fourth WTO Ministerial conference, starting in Doha tomorrow, should be an important date marking the progress of the world economy towards an open trading regime. But, going by current indications, not much warrants suc h a conclusion. There is every possibility of the conference going the way of the Seattle meetingheld two years ago and damaging irreparably the standing of the Geneva-based WTO. There seemed to be a rush of profit taking after Tuesday's gains that led to a decline in the market.
