Goldstone set to acquire US-based Stay Top Systems

GOLDSTONE Technologies Ltd (GTL) is set to acquire the US-based Stay Top Systems Inc, engaged in the similar line of activity.

The company informed the stock exchanges that its board, which met on Tuesday, has approved the draft Articles of Agreement to be entered into with the promoters of Stay Top Systems for the acquisition of 100 per cent shareholding at approximately $2.1-million.

In a separate development, the company informed the stock exchanges that it has received disclosure from Goldstone Export Ltd, a promoter shareholder of the company, that it has sold 1,91,304 shares or 1.76 per cent of the paid-up capital of Goldstone Technologies. The mode of sale was off market on October 14. Following this sale, the shareholding of Goldstone Exports stands at 16,19,272 shares amounting to 14.95 per cent of the paid-up capital of Goldstone Technologies.

Goldstone Teleservices Ltd, a group company, has informed the stock exchanges in a separate communiqué that it has also received disclosure from Goldstone Export informing that it has sold 2,79,238 shares amounting to 2.04 of the paid-up capital of Goldstone Teleservices. The mode of sale was off market on October 14. Following this, the shareholding of Goldstone Export stands at 20,00,000 shares amounting to 14.34 per cent of the paid-up capital of Goldstone Teleservices, the company said.
