Sunraj Diamond Exports Ltd.	26/12/2009	has informed BSE that the Board Meeting held on March 29, 2008, the Company had decided to acquire 100% shareholding of Pride Crown Investments Ltd ("PC"); a Hong Kong based company from Lead Crown Investment Ltd which is also based in Hong Kong. It is proposed to acquire PC through share swap under the scheme of arrangement. PC, through its subsidiaries is primarily engaged in the business of cutting & polishing of rough diamonds and retailing of Jewelry in Russia. The auditors of the Company have carried out the valuation and determined the Swap Ratio for the proposed acquisition. As a result of this share swap the shares will be issued to the promoter group as they are the existing shareholders of Lead Crown Investment Ltd. The Board Meeting will be held on the December 26, 2009 to take note of valuation and Swap Ratio determined by the Auditors and related matters to the proposed arrangement between the Company, Lead Crown Investment Ltd and their respective shareholders subject to all regulatory compliances.
