Dear Sir,

In compliance of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 this is to inform to your good-self that Board of Directors vide circular resolution dated 29th March, 2019 have accepted the resignation of Ms. Alka Khemka, Company Secretary cum Compliance officer of the company (vide resignation letter dated 01.03.2019) from the ARSS Infrastructure Projects Limited with effect from close of business hours on 30th March, 2019, owing her personal reasons.

Further, the Company is in the process of appointing new Person as the Company Secretary cum Compliance Officer, subject to the approval of the Board of Directors, under section 203 of the Companies Act, 2013 and Rule 8 of Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014.

Further, Mr. Rajesh Agarwal, Managing Director (Whole Time Director) of the company will act as Compliance Officer till the Company appoints fulltime Company Secretary in terms of Section 203 of the Companies Act, 2013 with effect from 31st March, 2019.
