Outcome of Management Committee of Board of Directors

With reference to the Annual General Meeting of the Company held on September 26, 2012 and the approval of shareholders granting authority to the Board of Directors for issue of convertible warrants on preferential basis in favour of Promoters / Promoters Group in accordance with the SEBI (ICDAR) Regulation, 2009, Garden Silk Mills Ltd has now informed BSE that the Management Committee of Board of Directors of the Company at its meeting held on October 09, 2012 approved the allotment of warrants equivalent to Rs. 7.00 crores in favour of Promoters / Promoters Group at the price arrived in accordance with Regulation 76(1) of SEBI (ICDAR) Regulation, 2009, on the relevant date as on August 27, 2012.
