Grant of Employee Stock Options

Tanla Solutions Ltd has informed BSE that subsequent to the approval accorded by the Board of Directors of the Company, at its meeting held on August 13, 2015 and the special resolution passed by the shareholders of the Company on September 16, 2015 for the approval of Tanla Solutions Limited Employee Stock Option Plan 2015 and grant of Employee Stock Options (Options) to the employees of the Company, the Nomination & Remuneration Committee of the Company on November 18, 2015 has approved the grant of 50,00,000 (Fifty Lakhs) Options to eligible employees of the Company, in terms of Employee Stock Option Plan 2015 (“ESOP 2015”). The said Options carry the right to apply for same number of equity shares of the Company of face value of Re.1/- each, the brief terms of which are as under:

1. Vesting: The Options shall vest over a period of five (5) years on the basis of time and performance.

2. Exercise period: One (1) year from the date of vesting of Options.

3. Exercise price: Rs.26.51 per Option for 50,00,000 Options.
