Outcome of Board Meeting (Voluntary Delisting of Equity Shares from NSE)

Ramgopal Polytex Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 14, 2016, discussed the Voluntary Delisting proposal of Equity Shares of the Company from National Stock Exchange of India Limited ("NSE") and have inter alia:

Taken on record and approved, the aforementioned Delisting Proposal pursuant to and in accordance to Regulation 6 & 7 of Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009 ("SEBI Delisting Regulations") and amendments made thereof; the Company has proposed the delisting of Companys shares from NSE, without giving any exit opportunity to its Shareholders, Since the Equity Shares of the Company will continue to remain listed in the BSE Limited (BSE) the stock exchange having nationwide trading terminals, the Calcutta Stock Exchange Association Limited (CSE), and the Stock Exchange, Ahmedabad (ASE).

The public notice of the proposed delisting will be published in the newspapers in terms of the Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009.

The Meeting commenced at 4.00 p.m. and was concluded by 4.30 p.m. on the same day.
