We wish to inform you that pursuant to Schedule IV of the Companies Act, 2013 and Regulation 25(3) of SEBI (LODR) Regulations, 2015, Separate Meeting of the independent Directors was held on February 11, 2019. The following items in agenda were discussed.
1. Review of the performance of Non- Independent Directors and the Board as a whole;
2. Review of the performance of the Chairperson of the Company, taking into account the views of executive directors and non-executive directors;
3. Assessment of the quality, quantity and timeliness of the flow of information between the Companys management and the Board that is necessary for the Board to effectively and reasonably perform their duties.
