Ref.: Scrip Code : 539347 Sub.: Sanctioning of the Scheme of Arrangement and Amalgamation between Kirloskar RoadRailer Limited ("The Transferor Company I") and Pneumatic Holdings Limited, (Transferor Company II) and Kirloskar Pneumatic Company Limited, ("The Transferee Company") and their respective Shareholders Dear Sir / Madam This is to inform you that the Honble National Company Law Tribunal, Mumbai Bench on 19 April 2017 pronounced the Order sanctioning the Scheme of Arrangement and Amalgamation (the Scheme) between Kirloskar RoadRailer Limited (‘Transferor Company I), Pneumatic Holdings Limited (‘Transferor Company II) and Kirloskar Pneumatic Company Limited (‘Transferee Company) and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016. The Company is awaiting the certified copy of the Order of the Honble National Company Law Tribunal, Mumbai Bench for further actions. Upon receipt of the certified copy of the Order, the Company will file the said Order with the Registrar of Companies as required under Companies Act, 2013.
