This has reference to our letter dated 14th June, 2019 enclosing the Postal Ballot Notice along with explanatory statement for seeking the consent of the members by way of special resolution through postal ballot/e-voting on the resolution as set out in the said notice. In connection with the above and pursuant to Regulation 44(3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), we are pleased to inform you that the resolution(s) as set out in the postal ballot notice has been passed by the members of the Company with requisite majority that Mr. Kishan N Parikh & Mr. Ashok Kumar Bhattacharya has been Re-appointed as Non-Excutive Independent Director of the Company. In this regard, please find enclosed the postal ballot results and scrutinizers report. Please take the same on record.
