Pursuant to Regulation 44(3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations) and based on the Report of the Scrutinizer (Shri Parveen Rastogi, Practicing Company Secretary), dated July 17, 2019, (copy attached) we would like to inform you that the Members of the Company have accorded their approval with requisite majority through Postal Ballot Mechanism (including e-voting) for the Special Resolution mentioned in the Annexure. The said Special resolution is deemed to be passed on July 17, 2019, in terms of applicable provisions. The said Postal Ballot was conducted in accordance with Section 110 of the Companies Act, 2013 read with Rules made there under and other applicable provisions of the Companies Act, 2013 and SEBI(LODR)Regulations,2015.
