We are enclosing for your reference and record the following: a) Standalone and consolidated unaudited financial results for the quarter and nine months ended December 31, 2018 as approved by the Board at its meeting held today i.e. February 8, 2019; b) Limited Review Report of the statutory Auditors of the Company; c) Press Release; and d) Annexure-A containing the detailed disclosure as required under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 with respect to the transfer of the Companys Boiler and Heater business division (B&H business) on a going concern basis to a Wholly Owned Subsidiary (WOS) of the Company by way of slump sale, subject to the approval of the shareholders through postal ballot. You are requested to kindly take note of the same.
