The board of directors of Allied Blenders and Distillers (ABD) has approved the acquisition of 100 per cent of the equity share capital of UTO Asia Pte. Ltd (UTO Asia), a company incorporated in Singapore. The total consideration for this acquisition is €1.22 million. Consequently, UTO Asia is now a wholly-owned subsidiary of ABD, which includes ownership of the ‘Mansion House’ and ‘Savoy Club’ liquor brands.
The principal activity of UTO Asia is the production of liquor, spirits and wines. It is the legal and beneficial owner of the worldwide rights and title interest in the ‘Mansion House’ and ‘Savoy Club’ brands, excluding certain territories such as Singapore, Malaysia, Indonesia, the Philippines, Thailand, Cambodia, Vietnam, Laos, China, and Myanmar.
The acquisition of UTO Asia and the associated ownership of worldwide rights, and title interest in the Mansion House and Savoy Club brands, barring the excluded territories, aligns with ABD’s strategic expansion objectives. The acquisition allows ABD to gain full control over the Mansion House and Savoy Club brands on a global scale, while specifically addressing regional interests in key markets. This transaction is intended to strengthen ABD’s position in these territories, enhance its brand presence and facilitate growth.
The company shared that binding transaction documents have been executed, and the acquisition is concluded with immediate effect.
ABD has a presence in five main flavours — whisky, brandy, rum, vodka and gin, with brands such as Officer’s Choice Whisky, Officer’s Choice Blue Whisky, Sterling Reserve Premium Whiskies and ICONiQ White Whisky. Currently, its manufacturing network comprises 36 units, of which nine are owned bottling units, two owned distilleries, and 25 non-owned manufacturing units.
