This is to inform you that the Board of Directors of the Company, at their meeting held today: 1. has taken effect of cessation of Mr. H. K. Khan w.e.f. April 20, 2019 due to his death. 2. Approved the Audited Financial Results of the Company for the quarter and financial year ended March 31, 2019. a) Audited Financial Results for the quarter and financial year ended March 31, 2019 along with the statement of Assets and Liabilities of the Company as on that date. b) Auditors Report on the Financial Results for the quarter and financial year ended March 31, 2019. c) Declaration for unmodified opinion on Audit Report. 3. The Board of Directors of the Company has recommended a Final Dividend of Rs. 3.00 per equity share (30%) of face value of Rs. 10/- per equity shares for the financial year ended March 31, 2019, subject to approval of members of the Company at the ensuing Annual General Meeting. 4.The Board of Directors has reconstituted the Nomination and Remuneration Committee.
