1. Considered and approved the Audited Financial Results of the Company along with the Auditors Report thereon for the 4th quarter and Financial Year ended March 31, 2019 (on Standalone and Consolidated basis). Enclosed herewith is the copy of the said Audited Financial Results and the Auditors Report. Further, Declaration in respect of Auditors Report with unmodified / unqualified opinion in terms of second proviso to Regulation 33(3) (d) of the Listing Regulations, as amended from time to time, is attached herewith. 2. Considered and approved the Second Interim Dividend of Rs. 8/- per Equity Share of Rs. 10/- each fully paid of the Company (i.e. @ 80%) for the Financial Year 2018-19. 3. Have not recommended any Final Dividend for the Financial Year 2018-19.
