Pursuant to the Regulation 30 & 33 of the SEBI (LODR)Regulation, 2015, it is hereby informed that, as recommended by the Audit Committee, the Board of Directors of the Company at its Meeting held today i.Approved the Standalone and Consolidated Audited Financial Results (AFR) for the Q4 and FY 2018-19 ended on 31/03/2019; ii.Approved the Standalone and Consolidated Audited Financial Statements for FY 2018-19 ended on 31/03/2019; and iii. Recommended a Dividend of Rs.2.90 per equity share of Rs.10/- each fully paid up for the FY 2018-19. Pursuant to the said Regulation 33, we are enclosing: 1.Statements showing Standalone and Consolidated AFR for Q4 and FY 2018-19 ended on 31/03/2019; 2.Auditors Reports dated 17/05/2019 on said AFR, issued by Statutory Auditors of the Company M/s. K C Mehta & Co., Vadodara; 3.Declaration in respect of the Audit Report with unmodified opinion with respect to the Standalone and Consolidated AFR of the Company for the quarter/year ended on 31/03/2019.
