We are enclosing herewith the Voting Results and Scrutinizers Report of the Postal Ballot and NCLT Convened Meeting held on 13.02.2019 considering the scheme of amalgamation between Equal Commodeal Private Limited (Transferor Company) and Himadri Speciality Chemical Limited (Transferee Company). The Scrutinizer after scrutiny of voting process of Postal Ballot/e-voting and poll conducted at the venue of the Meeting has submitted his report on 15 February 2019 to the Chairman appointed by the Honble National Company Law Tribunal (NCLT), Kolkata Bench. In terms of Regulation 44(3) of SEBI (LODR) Regulations, 2015, we are enclosing herewith the following: 1. Copy of the Report of the Scrutinizer dated 15 February 2019; marked as Annexure - I. 2. Voting Results of the Postal Ballot/e-voting and Poll conducted at the NCLT Convened meeting held on 13.02.2019, as required in terms of Regulation 44(3) of the SEBI (LODR), Regulations 2015 marked as Annexure - II.
