Dear Sir/ Madam, Pursuant to Regulation 44(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Regulations) read with SEBI Circular No. CIR/CFD/CMD/8/2015 dated November 04, 2015 and other relevant provisions, if any, of the Regulations, please find enclosed herewith details of voting results declared today in Annexure I along with Scrutinizers Report through postal ballot in respect of the below resolutions. 1. Special Resolution under section 14 of the Companies Act, 2013 to adopt new set of Articles of Association of the company in conformity with the Companies Act, 2013. 2. Special Resolution under Section 68 of the Companies Act, 2013 for buyback of 6,10,000 equity shares of the Company (representing 6.74% of the total number of equity shares) from all the equity shareholders on a proportionate basis through the Tender Offer route as prescribed under the Securities and Exchange Board of India (Buyback of Securities) Regulations, 1998 at a price of Rs. 230/- per equity share for an amount aggregating to Rs. 14,03,00,000/-.
